Terms of Service

Welcome to ArborBuddy. These Terms of Service ("Terms") govern your access to and use of the ArborBuddy website, software application, APIs, and operational analytics services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Description of Services & Subscriptions

ArborBuddy provides tree-care B2B operational intelligence tools, specializing in address deduplication, database auditing, and signal alerts. We offer subscription-based access to the Services.

Billing is processed on a recurring monthly or annual basis. You agree to pay all applicable subscription fees. All fees are non-refundable unless required by law.

2. User Data Ownership & License Grant

Ownership: As between you and ArborBuddy, you retain full ownership of all data, customer records, database CSV files, text entries, and prompts uploaded or submitted to the Services ("Customer Data"). ArborBuddy does not claim any ownership rights over your Customer Data.

License to ArborBuddy: You grant ArborBuddy a limited, worldwide, non-exclusive, royalty-free, fully paid-up license to store, host, copy, process, transmit, and analyze your Customer Data solely as necessary to provide, maintain, support, secure, and improve the Services.

Anonymized Machine Learning Use: You agree that we may anonymize and aggregate your data (such that it does not identify you, your business, or any individual customer) to train and improve our internal machine learning heuristics, matching algorithms, and address normalization utilities. This data is never sold, shared, or exposed to third parties.

AI & Heuristics Disclaimer

ArborBuddy utilizes heuristic matching, NLP address normalization, and probabilistic machine learning systems to flag duplicates and reconcile invoices.

You acknowledge and agree that:

  • System outputs (including duplicate match probabilities, recommended address unifications, and revenue alerts) are probabilistic in nature.
  • ArborBuddy does not warrant or guarantee that system flags or deduplications will be 100% accurate, complete, or error-free.
  • You are solely responsible for reviewing, validating, and confirming all recommendations and outputs before taking operational or business actions.

3. Acceptable Use Policy

You agree not to use the Services to:

  • Upload any customer data, CSVs, or logs that you do not have the legal right to possess and process.
  • Upload malicious code, viruses, or Trojan horses designed to interrupt or corrupt platform systems.
  • Scrape, reverse engineer, or attempt to extract the source code or underlying proprietary heuristics of the ArborBuddy platform.
  • Attempt to gain unauthorized access to other tenant environments or shared infrastructure.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARBORBUDDY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, DATA LOSS, OR BUSINESS INTERRUPTION.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ARBORBUDDY FOR THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

5. California Governing Law & Venue

These Terms, and any dispute arising out of or related to these Terms or our Services, shall be governed by, construed, and enforced in accordance with the laws of the State of California, without regard to conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the federal or state courts located in San Francisco, California. Both parties consent to the personal jurisdiction and venue of these courts.

6. Termination

You may cancel your subscription at any time via your account settings. We reserve the right to suspend or terminate your access to the Services if you violate these Terms or fail to pay applicable fees. Upon termination, your right to use the Services immediately ceases, and we will delete or return your Customer Data in accordance with our Privacy Policy.
